Hello everybody,

Do you have any tips on how to structure a post merger integration case?

What aspects should I consider after a M&A and how could I structure these aspects in a MECE way?

Hi,

There are several sets of questions you have to answer:

In the clarifying questions, I would check what are the real reasons for the deal (Make sure you cover it in clarifying questions). I would also check the Criteria for success and what is the integration focus

In the structure I will look at:

1) Integration approach

  • People (Top management team, org structure, support functions)
  • Processes (You can go through the whole value chain to identify the processes)
  • Technologies (How do we choose a system? Will it be one system or two systems? Is it "Adopt and go" approach or we take the best of both systems and create a new one?  Integrate now, innovate later? Or Innovate now, when you have time?)

2) What is the integration plan across different entities?

  • Early Wins. Take into account that It may take years
  • Communication plan
  • Roll-out plan
  • Integration risks and mitigation
