M&A Deal Cycle sell side

    Deals Strategy M&A
Most recent answer on Jun 01, 2021

Hello everybody,

I was wondering if anyone could help me out with the deal cycle if a CEO is willing to sell the company. I found quite a lot on the buy-side but the information on the sell-side are pretty scarce (from my experience so far). Does anybody have an idea? Does it maybe go as follow:

1) Internal company analysis
2) Due Diligence
3) Identification of possible buyers
4) Negotiation (incl. signing of the letter of intent and the non-disclosure agreement)
5) Sigining and closing
((6) Post merger segregation if a certain business unit is sold))

Would appreciate your opinions :)

Hello! Same as Marco, feel free to PM me! Back in McK I did plenty of DDs, all were M&A, so happy to chat Cheers, Clara

Exit Options Tier 2 vs. Big4

Hey guys,

some of you might have seen my question from yesterday. Really appreciated your help, great input for me. One more question has come up to my mind during the last day.

I wanted to ask you if you have any input for me what might be better regarding exit options. I would love to work in a corporate later or in VC. Do you think it would be better to go for the Tier2 firm and look at different strategic topics or go for the big4 firm and focus in a certain area e.g. finance?

I would really appreciate your input here!! Happy Easter and best regards from Hamburg!

Hi there, In general Tier 2 will offer better options for strategy positions in corporates, but it also depends on the specific role you are targeting. It also depends on what you mean by Tier 2 ;) I would perso ... (read entire answer)

    Strategy& vs. KPMG

Big 4 Deals Strategy Finance first job Job offer M&A Tier 2 Offer tier2
Most recent answer on Mar 31, 2021

Hello together,

I now have my final offer from Strategy& and KPMG in Germany. At the moment, I'm trying to find out a little bit where exactly the differences are (besides the salary, which is not important for the decision).

At KPMG, I would be working in Finance Transformation. Here I understood that I would be doing all projects from controlling to forcecasting to SSC. A lot of work on client site.

At Strategy&, I would be in the Corporate & Business Strategy Team/Deals. Here I would be involved in both buy-side and sell-side projects. The team is still quite new in Germany, but it sounds like there are a lot of M&A and PE activities. Do you know how this differs from working in an M&A boutique? So where is the difference in strategy M&A advisory?

So in summary, I understand if I want to make an exit into a corporate later, KPMG might be more interesting with the finance background, while Strategy& would be super exciting if I want to go into PE or M&A after consulting. Do you agree with me or do you have other input for me?

I would really appreciate your input!

Hi there, I honestly can't offer too much more in terms of specific content regarding these two specifically. That said, I recommend the following: Pick up the phone and try to speak to a few consultants in both o ... (read entire answer)

    PwC Deals Strategy

    Deals Strategy
Most recent answer on Jan 10, 2021

Dear forum members: could anyone share their experience or view on PwC's deal strategy practice? According to the website, "PwC's Deals Strategy team supports private equity and corporate clients. Service provided include initial investment strategy development, commercial due diligence, value creation post-close and exit, etc." I have 3 specific questions:

1) Is it a good place to develop skillsets and project experiences in order to jump to MBB in the future? How does MBB firms view big fours' deals strategy practice?

2) Does this practice focus on both "strategy and finance"? I would imagine finance skills are quite important in this practice given that projects seem to be M&A related and clients are PE firms.

3) Will MBBs corporate finance or PIPE practice highly regard the experience at deals strategy? It seem to me that the service they provide is quite similar.

Appreciate your sharing!

Hi there, 1) Yes. There are a number of transferable skills here. Of course, this isn't a silver bullet, but you can indeed leverage this experience to support a move to MBB 2) Yes 3) Relates to #1. I wouldn't say ... (read entire answer)

Exit Opportunities for M&A Strategy / DD focused teams? (Tier 2 Consulting)

Most recent answer on Jul 28, 2020

Was wondering if exit opportunities to corporate strategy / industry are still viable from M&A Strat / DD focused groups at T2 consulting firms in the UK? As an add on - would one be limited to say only midcap companies, with the larger companies being reserved for MBB / corpstrat teams?

Hi A, I know many colleagues of mine have exited from DD practice into the Private Equity and Investment Funds as well as venture capital firms on the top positions, directors and above. So I would say that the exit o ... (read entire answer)

    Carve-outs / Divestitures

    Deals Strategy M&A
Recent activity on Jan 31, 2019

Any suggestions on issue trees / considerations for carve-outs / divestitures? I know what aspects to consider for mergers/acquisitions, but there are definitely additional considerations for carve-outs such as stranded costs etc. I've had a hard time finding practice case studies around this topic. Thanks in advance!

Hi Anonymous, in the analysis of divestitures I would consider the following areas: Clarify the goal – what does the company want to reach with the divestiture (higher profits, lower costs, etc)? Identify the ma ... (read entire answer)

Recent activity on Jan 27, 2016

Hey folks,

I have a first round interview on Tuesday for PwC's Strategy& Deals Strategy internship. I'm unsure of what to expect since the formal Deals Strategy practice segment is pretty new. I haven't been able to find as much information about those cases in particular. Can anyone shed some light as to whether the cases will be general case questions, or if they'll be deeper M&A dives? I'm wondering if I should knock the rust off my DCF skills, or if higher level M&A considerations will suffice.

Thanks!
